These Terms of Service ("Terms") govern your access to and use of the www.ply-max.com website and the PlyMax plywood optimization software and services (collectively, the "Service"). The Service is provided by PlyMax ("we," "us," or "our").

By accessing, browsing, or using the Service, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

1. Account Registration

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and account credentials.
  • Be solely responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

2. The Service

PlyMax provides an online platform for optimizing plywood layouts based on architectural or engineering design files (e.g., DXF files) uploaded by the User ("User Content"). The Service processes this User Content to generate optimized layouts, waste reports, and cost estimates ("Optimized Results").

3. License to Use the Service

A. Our License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business purposes.

B. Your License to Us

To provide the Service, we require a license to your User Content. You grant PlyMax a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of operating, providing, and improving the Service (e.g., running the optimization, generating your results, and storing your files for your access).

4. User Content

A. Ownership

You retain all ownership and intellectual property rights in and to your User Content. We do not claim any ownership rights to your DXF files or other project data.

B. Responsibility

You are solely responsible for your User Content, including its accuracy, legality, and completeness. You represent and warrant that you have all necessary rights to upload the User Content and to grant us the license in Section 3.B.

PlyMax is not responsible for any errors, inaccuracies, or omissions in your User Content. The quality and accuracy of the Optimized Results depend entirely on the quality and accuracy of the User Content you provide.

5. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit any content that is unlawful, harmful, or infringes on any third party's rights.
  • Upload any content containing software viruses or other harmful computer code.
  • Reverse-engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms of the Service.
  • Resell, sublicense, or distribute the Service.
  • Use any automated means (e.g., bots, scrapers) to access the Service, except as permitted by our public APIs (if any).

6. Fees and Payment

Our Service is offered under various subscription plans (e.g., Basic, Pro, Enterprise). By selecting a paid plan, you agree to pay PlyMax the fees specified for that plan. All fees are non-refundable except as required by law or as otherwise specified. Payments are billed in advance on a recurring basis (e.g., monthly, annually, square meter, or square feet).

7. PlyMax Intellectual Property

Excluding your User Content, the Service itself, including all underlying software, algorithms, trademarks, logos, and website content ("PlyMax IP"), is the exclusive property of PlyMax. The Optimized Results are generated by our proprietary PlyMax IP. We grant you a license to use the Optimized Results for your internal business purposes as part of the Service, but you acquire no ownership rights in the underlying PlyMax IP.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PLYMAX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO GUARANTEE AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE OPTIMIZED RESULTS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ALL OPTIMIZED RESULTS BEFORE USING THEM FOR CONSTRUCTION, FABRICATION, OR ANY OTHER PURPOSE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PLYMAX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

THIS INCLUDES, BUT IS NOT LIMITED TO, ANY DAMAGES OR LOSSES RESULTING FROM: (A) YOUR RELIANCE ON THE OPTIMIZED RESULTS; (B) ANY CONSTRUCTION ERRORS, MATERIAL WASTE, OR COST OVERRUNS; OR (C) ANY ERRORS OR INACCURACIES IN YOUR USER CONTENT.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE, IN ANY GIVEN TWELVE (12) MONTH PERIOD, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO PLYMAX FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless PlyMax and its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or relating to: (a) your use of the Service, (b) your violation of these Terms, or (c) your User Content infringing on the rights of any third party.

11. Term and Termination

These Terms are effective upon your first use of the Service and continue as long as you have an account with us. You may terminate these Terms at any time by deleting your account.

We may suspend or terminate your access to the Service at any time, with or without cause, including if we believe you have violated these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes, such as by posting a notice on our website or sending an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
